Joident follows the ISO/IEC 27001 Information Security Management System (ISMS) and the ISO/IEC 27701 Privacy Information Management System (PIMS) and uses various technical and organizational measures and operational procedures to protect your personal information. Terms and conditions

General Terms and Conditions of Sale, Delivery, and Payment of Ningbo Joident Electronic Technology Co., Ltd. (hereinafter referred to as Joident)

1. Overview

1.1. All deliveries and services provided by JOIDENT shall be carried out in full compliance with JOIDENT’s General Terms and Conditions of Sale, Delivery, and Payment. Deviating or supplementary terms and conditions shall only apply with Joident’s express consent.

1.2. The Customer hereby agrees to be subject to the exclusive application of these General Terms and Conditions of Sale, Delivery, and Payment. The Customer’s silence regarding deviations from the terms and conditions of the order shall not be deemed approval by Joident.

1.3. The current version of the Incoterms of the International Chamber of Commerce (ICC) (currently: Incoterms 2020) shall only be deemed accepted if, and to the extent that, it is expressly provided for in writing by JOIDENT.

1.4. Unless otherwise agreed, the language of the agreement, order, and complaint shall be Chinese.

2. Offer, Conclusion, and Content of the Agreement

2.1. All quotations and cost estimates are considered non-binding and subject to change unless expressly identified as binding.

2.2. The written order confirmation or quotation issued by Joident is authoritative for the content of the agreement. Written and verbal orders are deemed accepted upon issuance of the written order confirmation or upon delivery of the ordered goods. If no written order confirmation is issued, this function is fulfilled by the invoice. If the Customer has no objection to the content of the order confirmation or quotation and does not immediately raise an objection in writing, this Agreement shall enter into force in accordance with the order confirmation or quotation.

2.3. All supplementary agreements, amendments, and additions to these General Terms and Conditions must be made in writing to be effective. This also applies to deviations from this written form requirement.

2.4. We retain ownership and copyright to the photos, drawings, calculations, files, and other documents or tools. This information will remain confidential and will not be disclosed to third parties. Any disclosure to a third party in any form must be approved in writing by JOIDENT.

2.5. By signing this Agreement, the Customer will not acquire any rights to JOIDENT’s intellectual or industrial property rights. The Customer undertakes to protect all intellectual and industrial property rights of JOIDENT or its subcontractors and is liable for all damages resulting from the breach of this obligation.

2.6. The place of performance and jurisdiction is China. The legal relationship between JOIDENT and the contractor will be governed by the laws of the People’s Republic of China, excluding uniform international laws. In particular, the applicability of the United Nations Sales Convention is excluded.

3. Delivery

3.1. The confirmed delivery period begins on the date of order confirmation. Under no circumstances will work begin until the Customer has provided the required documentation, payments, notifications, permits, or approvals.

3.2. Changes in structure, shape, and color that result in an improvement in quality or service or are necessary due to legislative or standardization requirements are reserved, provided that these changes are not material or unreasonable for the Customer. Changes in the technical design are also permitted, provided that functionality is not significantly impaired or the Customer proves that the change is not justified for them. The same applies to the dimensions and weight of the supplied items.

3.3. JOIDENT is entitled to make partial deliveries, which may be invoiced separately, provided that this is justified in the Customer’s interest. Partial delivery is reasonable, particularly if it does not include individual parts sold together.

3.4. The delivery dates specified by JOIDENT are not binding. Compliance with the specified delivery dates is, of course, Joident’s top priority.

3.5. Unless otherwise agreed, delivery is always at the Customer’s expense and risk. The risk transfers to the Customer upon handover to the freight forwarder or carrier. Even minor defects in the delivered items must be accepted by the Customer. If the goods are obviously damaged during transport, the Customer must immediately complain to the shipper and inform Joident.

3.6. The installation of gas, water, and electricity connections is not part of the delivery package. The necessary connections (including any safety measures such as residual current devices or water shutoffs, etc.) must be carried out by the Buyer himself, taking into account the applicable codes and regulations.

3.7. The export of certain goods, for example due to their type, intended use, or final destination, may be subject to licensing requirements. In the event of export, the Customer hereby refers to the relevant national and international export regulations, such as the export control regulations of the People’s Republic of China.

3.8. Goods delivered to the Customer are subject to national or international foreign trade regulations, embargoes, or other legal prohibitions.

4. Delayed Delivery, Force Majeure

4.1. If JOIDENT fails to meet the delivery date, the Customer must clearly agree on an appropriate extension (but at least 30 working days) based on JOIDENT’s current order situation. If this extension is not used, or if Joident declares that this extension is not possible to deliver, the Customer has the right to withdraw from the Agreement. The withdrawal must be made in writing within one week of the expiration of the extension or Joident’s declaration. In the case of a framework agreement or a series delivery agreement, the right of withdrawal is limited to specific deliveries or partial deliveries.

4.2. If the Customer requests subsequent changes, the delivery period may be extended accordingly.

4.3. If the agreed delivery time cannot be met due to force majeure, the delivery time will be extended appropriately, but in any event until the obstacle is removed. If such a situation occurs, Joident will immediately inform the customer. All claims by the customer (in particular claims for damages) in the event of late delivery or termination of the contract due to force majeure are excluded.

4.4. Force majeure events include all events beyond Joident’s control, including, but not limited to:

  • Labor disputes of any kind, difficulties in sourcing materials or transport factors, border closures, official orders, export embargoes, or other circumstances that impede Joident’s operations; or
  • Epidemics, acts of war, insurrection/revolution, terrorism, sabotage, arson, fire, natural disaster, or failure to obtain necessary official permits; or
  • Delays or failures in delivery by Joident’s subcontractors due to energy crises or raw material supply crises, or due to the impossibility of procuring raw materials at economically acceptable prices and/or quantities, as well as any other reasons for which Joident is not responsible and which were not foreseeable by Joident at the time the Contract was entered into.

4.5. In the event of slightly negligent conduct in connection with delivery delays or leading to termination of the Contract, the Customer’s liability for claims for damages is excluded. Under no circumstances shall Joident be liable for loss of profits or indirect damages resulting from failure to meet delivery dates.

5. Prices

5.1. Unless otherwise agreed, the price list applies to the prices calculated on the date of each shipment under the conditions prescribed at that time.

5.2. All prices are quoted in RMB, excluding applicable taxes, unless another currency is agreed with the Customer. Payments can only be made in the agreed currency. Any additional costs incurred are also payable by the Customer.

5.3. Unless otherwise agreed, the shipping costs mentioned above apply to deliveries to the Distributor and its transport warehouse.

5.4. In the event of a deviation from the delivery address or abandonment of the goods, the additional costs (packaging, transport) will be charged to the Customer, unless otherwise agreed with the Customer.

5.5. If the quantity sent is reduced, the Customer will be informed, and JOIDENT reserves the right to charge a minimum quantity surcharge or a handling fee.

5.6. Joident is generally under no obligation to return goods and only authorizes returns if the goods are in a resalable condition and in their original packaging, and the customer accepts the separately agreed handling fees.

5.7. The prices stated in the order confirmation are binding for orders and deliveries. Unless otherwise agreed, prices are ex works in Ningbo, China, excluding packaging, freight, insurance, and VAT. Packaging is at cost price.

6. Payment Terms

6.1. Unless otherwise agreed or confirmed, invoices must be paid in full within 15 days of the invoice date. Repairs and other services must be paid strictly within 7 days.

6.2. If there are outstanding receivables for deliveries not subject to retention of title or for which title has expired, payments received will be allocated first to these receivables and only to these after fully offsetting the receivables still subject to retention of title. The customer’s partial payment will first be allocated to accrued costs and other additional expenses (e.g., late payment interest, reminder fees), and then to outstanding delivery receivables. Any contrary promise to pay by the customer will be void.

6.3. If the Client’s payment is threatened because the Client’s financial situation has deteriorated or is likely to deteriorate significantly after the conclusion of the Contract, JOIDENT shall be entitled to demand immediate payment of all outstanding debts.

6.4. JOIDENT reserves the right to issue invoices for the agreed services by mail or email. All communications sent to the email address or any other electronic address specified by the Client shall be deemed received by the Client upon dispatch.

7. Property reserve

7.1. The delivered items remain the property of JOIDENT until all claims arising from the business relationship with the customer have been paid (reserved goods). Customers must exercise caution with the goods they reserve and ensure they have adequate insurance.

7.2. The purchase price claim for goods delivered under retention of title is deemed assigned to JOIDENT as security in the event of resale by the customer (extension of the retention of title). Upon request, the customer must inform Joident of the assigned claims and their debtors, provide all information necessary for collection, and submit the relevant documents.

7.3. As long as the retention of title is in effect, the customer may not use the goods delivered to it by JOIDENT as security. The conclusion of a financing agreement (such as a lease agreement) that includes an assignment of liens requires Joident’s prior written consent, unless the agreement requires the financial institution to pay Joident directly the portion of the purchase price owed to it. Customers are prohibited from entering into agreements with their buyers that could infringe Joident’s property rights.

7.4. Joident is entitled to terminate the agreement and demand the return of the delivered goods in the event of a breach of the agreement by the customer, in particular in the event of late payment. Any transport costs incurred in this event shall be borne by the customer. The customer also assumes responsibility for the goods until Joident collects them. The Customer hereby expressly and irrevocably authorizes Joident to freely access its business and storage premises and to remove the Goods.

7.5. The Customer shall bear and indemnify Joident for all damages and expenses arising from the breach of these obligations and for preventing third parties from accessing the goods by taking necessary intervention measures.

8. Warranty

8.1. JOIDENT only warrants the properties of the contract goods to the extent specified below, which were expressly promised in writing at the date of transfer of risk and are required by law. JOIDENT assumes no warranty for defects resulting from normal wear and tear, improper handling or use, improper storage, or other acts and omissions of the customer and third parties. Likewise, Joident does not guarantee the fitness for a particular purpose or availability of the contract goods, unless these have been expressly agreed in writing.

8.2. The customer is expressly obliged to check the goods for possible defects immediately after delivery. If a customer wishes to use or resell a defective product that is the subject of a complaint, this requires Joident’s prior written consent. The following provisions also apply to the determination of defects:

  • In the event of a quantity defect (excess or insufficient quantity of the goods delivered in accordance with the contract), and in any case, a notification of the defect must be made immediately upon receipt of the document indicating the weight or quantity of the items supplied, or within seven days of delivery;
  • If a quality defect is discovered upon inspection of the goods, packaging, or random sampling, notification must be given immediately, but in any event within seven days of delivery;
  • If a quality defect is not immediately detectable by inspection or sampling, the defect must be reported as soon as it is discovered. Defects/complaints reported later cannot be considered.

8.3. To report a defect, the customer must accurately describe the goods, list the alleged defects in detail, and provide Joident with supporting documentation. The notification must be submitted in writing to Joident or, if damage during transport is suspected, directly to the freight forwarder. If the notification of defects is not made in accordance with the above provisions, all warranty claims, claims for damages, and other claims of the customer are excluded.

8.4. The customer must keep the goods in a safe place until the situation is clarified and insure the goods for the purchase price in the interest of both parties to the contract.

8.5. Defects that do not affect or only slightly affect the value and fitness for normal use of the goods recognizable by Joident are not included in the warranty.

8.6. Delivery defects may be corrected by repairing the delivered goods free of charge or by exchanging them, at Joident’s discretion. In the event of an exchange of goods, the Customer is obliged to return the replaced or exchanged goods or parts to JOIDENT.

8.7. If improvement or exchange is impossible or involves disproportionate costs for Joident, the Customer is entitled to request a price reduction. If permitted by law, other rights (including rights of conversion, compensation, loss of profit, or alternative performance) are excluded, even if the defect occurred within the first six months after delivery.

8.8. The warranty period for new products is 12 months from the date of transfer of risk and 6 months for used products.

8.9. If the Customer fails to fulfill its obligations, JOIDENT may refuse to eliminate the defect.

8.10. In the event of natural wear and tear or if the delivered goods have been modified without permission and/or by the installation of foreign parts and accessories and resulting defects cannot be excluded, claims for damages and warranty claims are excluded.

9. Liability

9.1. Unless otherwise provided by mandatory statutory provisions, JOIDENT’s liability for slight negligence is excluded.

9.2. Existing claims for damages shall, depending on their merits, be limited to the purchase price of the goods in question. Liability for lost profits, indirect damages, and consequential damages is excluded.

9.3. If JOIDENT’s liability for damages is excluded or limited, this also applies to the personal liability of its employees, workers, managers, representatives, and vicarious agents.

9.4. The Customer’s claims for damages due to defects in the delivered goods shall be deemed void if they are not made within six months of becoming aware of the damage, but no later than twelve months after delivery. If it is not legally possible to agree on a limitation period for the exercise of claims for damages, these limitation periods shall be deemed to be extended to the shortest possible period.

10. Product Liability

10.1. Customers may only use products manufactured or sold by JOIDENT for their intended purposes and must ensure that they are delivered or sold only by persons familiar with the risks and proper use of the products.

10.2. When using goods delivered by JOIDENT, the Customer is required to comply with the obligations arising from the Product Liability Act and to provide warnings regarding the goods delivered by JOIDENT.

10.3. The Customer is required to observe the products it sells (including after they have been placed on the market) in order to detect harmful properties or dangerous consequences of use, and to monitor scientific and technological developments related to these products and to immediately inform JOIDENT of any errors discovered as a result of these observations in goods already delivered by JOIDENT.

11. Return Policy

11.1. Unless otherwise provided in these Terms and Conditions, the Customer may not terminate the contract, exchange goods, or return goods for any other reason.

11.2. Orders for customized products cannot be cancelled. However, if this occurs, Joident will calculate the work completed up to that point or part up to a maximum amount corresponding to the total delivered value.

12. Place of Performance, Place of Jurisdiction, Choice of Law Clauses

12.1. The place of performance for JOIDENT’s deliveries is Ningbo, China.

12.2. In business dealings with businessmen and legal entities governed by public law, the place of jurisdiction for all legal disputes arising from the contractual relationship shall be the registered in the office of Ningbo Joident Electronic Technology Co., Ltd. Joident also has the right to assert claims in any other legal jurisdiction.

12.3. The legal relationship between the customer and JOIDENT shall be governed solely by the laws of the People’s Republic of China.

13. Concluding clauses

13.1. Declarations made on behalf of Joident are only legally binding if made by a specified number of persons authorized to act on behalf of Joident (i.e., the Managing Director, the Authorized Representative, the Authorized Officer).

13.2. All agreements between JOIDENT and its clients must be in writing. An oral collateral agreement is void. Therefore, amendments and supplements to these General Terms and Conditions are only effective if agreed in writing. Written requests may also be processed by email.

13.3. If individual provisions of an individual agreement or these General Terms and Conditions are wholly or partially invalid, the remaining provisions shall remain valid. In the event of partial invalidity, the contracting parties undertake to replace the invalid provision with a provision that comes as close as possible to the objective of the invalid provision.

13.4. The Client’s legal successors will also be bound by the obligations of the Agreement concluded on the basis of these General Terms and Conditions.

13.5. During the effective business relationship, the Client undertakes to immediately inform JOIDENT of any change in their personal or professional identity, as well as any change in their business address.

13.6. JOIDENT reserves the right to amend or supplement these terms and conditions at any time. The change will take effect upon the Client’s consent and will apply to all transactions concluded after that time.
